GENERAL MEETING (“GM”)
On 1 October 2024, the Board announced that its indirectly wholly owned subsidiary Mpac Bidco, had entered into an agreement to acquire CSi Palletising, a leading provider of design, manufacturing and installation services for end-of-line automation and palletising solutions.
The Board utilised the majority of the Company’s existing shareholder authorities granted at the 2024 AGM to allot the BCA Consideration Shares. As such, the Directors do not have the necessary authority to allot the new Ordinary Shares required to satisfy the consideration for the acquisition. Accordingly, the Board is seeking the approval of Shareholders to provide the authority to allot new Ordinary Shares in respect of the Fundraising and the Acquisition.
A General Meeting will be held at 9.00am on Friday 18 October 2024 at 2 Argosy Court, Coventry, CV3 4GA to consider and vote on the resolutions associated with authorising the directors to allot new Ordinary Shares above the existing authority already conferred.

As soon as practicable following the conclusion of the GM, the results of the voting at the meeting, including the numbers of proxy votes cast for and against, and the number of votes actively withheld, in respect of each of the resolutions will be announced via a Regulatory Information Services and also placed on the website.
